During the Beta Year, management will be provided by the originator and APS. The originator has positive experience as an entrepreneur and executive of several small and medium enterprises.

An organizational model needs to be discussed at any point between now and the end of the Beta Year to determine if Smart People Magazine will continue as a solely owned proprietorship or in some form of partnership. The prospects of both financial and intellectual capital investors are open for discussion and negotiation.

Governance

Under a sole proprietorship there will be a Management Advisory Board (MAB). In the event that some form of partnership is adopted, the MAB will be replaced by a Board of Directors (BoD).

There will be an Editorial Board composed of subject matter experts representing special interest groups served by the magazine.

Professional and Advisory Support

Regardless of the organizational model, Smart People Magazine will remain a collaborative business model. It will require a

• Board of directors, or
• Management advisory board
• Attorney
• Accountant
• Insurance agent
• Banker
• Consultant or consultants
• Mentors and key advisors
